This agreement ("Agreement") between the Vendor ("You") and erpdeals.com ("ERPDEALS") consists of the below Standard Terms and Conditions ("Terms and Conditions").

1.0 Business Listings

1.1 The vendor agrees to provide information (including links to its websites) associated to his company, products or services for business listing in our directories and on the websites of erpdeals network partners/affiliates. Such listings may be categorized/displayed as per our discretion. 

1.2 Submission of information would not guarantee a business listing. It would be subject to our approval and the vendor should agree to furnish any additional information that may be required to complete its profile for listing.

1.3 The vendor would be solely responsible for the correctness of its entire links to its website and would be fully responsible for the content its company, services, service areas and products descriptions and Erpdeals would not be obligated to provide any notices under such circumstances.

1.4 Erpdeals.com reserves the right to supervise the content of the Vendor along with the right to modify or remove content that erpdeals.com, in its sole discretion, deems inappropriate or offensive. In cases of removal from erpdeals business listings, the Vendor would not be eligible for any refunds.

2.0 Termination/Cancellations

The Agreement Period would start from the date of submission of information for Vendor Listing and would be valid till further notice for renewal from erpdeals.com. The vendor reserves the right to cancel the Agreement or remove his details from the business listings. Such notice of cancellation must be made by email to admin, including a reason for cancellation and must be confirmed by erpdeals.com. Cancellation would occur at the earliest time possible for erpdeals.com. The Vendor would have to agree to pay any outstanding dues/fees in the event of a cancellation and there would be no refunds from erpdeals.com

3.0 Confidentiality

The Vendor agrees that it would not disclose any confidential information related to erpdeals.com. Erpdeals confidential information would include (but not limited to) – information collection process from the vendors (includes the web pages/forms that are accessed only by the vendors), all whitepapers, collaterals, presentations, guidelines, and rates for different types of lead generation programs, vendor promotion program details etc. or any other information that is termed by erpdeals as confidential. The Vendor agrees not to disclose its account details to any member outside its company.

4.0 Publicity

The Vendor can use Erpdeals brand name as long as it is in compliance with this agreement.

The Vendor agrees that it would allow erpdeals to use its brand name, logo and website links in its marketing/promotional materials, financial reports and web site listings of customers or clients.

5.0 Payment Terms

If the vendor wishes to subscribe to the services of erpdeals the all payments would be made via credit cards through Pay Pal.

6.0 Lead Generation for Vendors

6.1 All information in leads posted in erpdeals would be validated by phone or mail communication with the Buyers. Still, erpdeals would not guarantee the authenticity of information in the leads (RFX) or the persons posting the leads on our site. In case of any wrong or misleading information posted by the buyer erpdeals would not be deemed liable for such postings and no requests for refunds would be entertained in such events.

6.2 Vendor agrees to buy the lead only for meeting the Buyer’s Requirement for product or services. Leads cannot be resold to any third party. In case of such an event erpdeals would hold the rights to de-list or permanently cancel the subscription of the vendor from the site.

6.3 Erpdeals would in no way responsible for solicitation of responses (based on the leads posted) from the Buyers. In the event of no response from the Buyer, erpdeals would not have any obligation towards the Suppliers. Payments of leads would not be refunded.

6.4 Erpdeals holds the right to sell lead information as per its discretion. Same leads may sometimes be sold to multiple parties based on Buyer Requirement.

6.5 Based on Buyer response erpdeals would try to update the status of leads that have been closed. However, erpdeals would not guarantee the accuracy of the latest status.

6.6 The Vendor agrees to understand that all information posted in the leads would be only the starting point for following up the Buyer and in no way implies or guarantees sales conversion.

7.0 Representations and Warranties

7.1 The Vendor agrees to represent and warrant that

(i) all information provided is true and up to date, and

(ii) the Vendor is the owner or legally authorized to furnish information about its company’s Products, Services, Service areas and other details listed, and

(iii) the Vendor has the authority to enter into an agreement with erpdeals. The Vendor agrees that any material submitted for displaying on erpdeals

(iv) comply with all applicable laws and regulations, and

(v) doesn’t breach any rights of intellectual property, privacy/publicity rights or duties under consumer protection, product liability etc and

(vi) are not pornographic or violent in content.

The Vendor understands and agrees that its website(s) will not contain any libelous, defamatory, obscene or unlawful materials will not contain viruses, Trojan horses, or other similar damaging files or programs. The Vendor would not hold erpdeals or its partners/affiliates responsible for the activities of visitors who come to its web site(s).

8.0 Indemnification

The Vendor agrees to indemnify, protect and hold erpdeals, its agents, affiliates, subsidiaries, directors, officers, employees and applicable third parties safe from and against any and all third party claims, liability, loss, and expense (including damage awards, settlement amounts and reasonable legal fees) resulting from claims or actions arising out of or in connection with (i) The Vendors involvement in the any program that has been owned by erpdeals. The Vendor agrees that it is solely responsible for defending any claim, and for payment of damages or losses resulting from the foregoing to both a third party and to erpdeals.com
